EY advises Omnidocs on the sale to Main Capital

Leading provider of Smart Document Creation & Management software, Omnidocs, sells majority stake to private equity firm, Main Capital Partners, to support and accelerate the growth of the company.

The Danish-based SaaS company, Omnidocs, providing Smart Document Creation and Management, has sold a majority stake to Dutch-based private equity firm, Main Capital Partners, in a highly successful deal. Main will serve as a strategic partner to Omnidocs, supporting its continued growth journey locally and internationally. Omnidocs will serve as a platform investment, pursuing both organic and inorganic growth to bolster Omnidocs’ position as a market leader in the broader European and American market for Enterprise Information Management.

Based in Copenhagen, Denmark, Omnidocs has for the last 20 years specialized in delivering document management, automation, productivity tools, content creation and accessibility solutions to organizations across the globe. Omnidocs also provides advisory services to support their customers in their document creation journey and can integrate the software seamlessly with other enterprise applications. Today, Omnidocs services 300 SaaS customers and more than two million users globally, of which the majority are multi-national enterprises and public sector organizations.

As a specialized software investor in fast-growing companies and with a significant footprint in the Nordics, Main is the perfect partner to support Omnidocs’ continued growth. Main brings vast expertise in both organic and inorganic growth, and always takes a very active role in portfolio companies as co-investors with existing owners.

EY Corporate Finance acted as M&A adviser to the sellers. On the support, Jeppe Schytte-Hansen, CEO of Omnidocs, said: “I am very grateful for the contribution EY provided in the process. We entered into the engagement end of November, signed the Letter of Intent and 6 weeks later we signed and closed the deal with great contribution from both EY Corporate Finance, PwC Tax and Lundgrens on the legal part of the transaction.

The combination of Jesper, Lasse and Thomas from EY Corporate Finance provided us with both valuable support in the negotiation process, sparring on important components in the structure of the deal, an extreme attention to detail and the extensive experience to help me choose the right battles to fight.”

Wessel Ploegmakers, Partner and Head of Nordics at Main, will step in as Chairman in Omnidocs. He adds: “We are proud to join forces with the leading Smart Document Creation & Management provider, Omnidocs. Main is committed to being a strategic partner, working hand in hand with the Omnidocs management team to support them in their continued growth journey. Omnidocs' selective buy-and-build strategy positions it as a potential leader in the European and American Enterprise Information Management software space, offering cutting-edge solutions across diverse verticals.”
