Proposed amendment to the Companies Act
The Ministry of Economic Development and Technology has prepared a draft act proposal amending and supplementing the Companies Act (hereinafter “Amendment ZGD-1L”). The draft is currently in a one-month public release, which means that the public can submit comments and possible proposals by 18 July 2022 at the latest.
The aim of law amendment ZGD-1L is primarily the harmonization of Slovene legislation with European legislation, namely with the EU Directive 2018/1151 (i.e. the Digitalization Directive) and EU Directive 2019/2121 (i.e. the Mobility Directive).
The implementation of the Digitalization directive will provide a legal basis and rules for the online establishment of capital companies, the registration of branches and the entry of documents and information by companies and branches also for cross-border users to the Slovenian legislation.
On the basis of the implementation of the Mobility Directive we will supplement the existing provisions for cross-border mergers and implement new rules on cross-border divisions and cross-border restructurings of capital companies, which have not been regulated until now.
